3. Products and Services

We supply food-grade raw materials and ingredients for the food, bakery, dairy, beverage and coconut industries. We may provide technical and formulation support alongside the supply of certified ingredients (COA, MSDS, HALAL).

4. Orders, Pricing & Payment

• All orders are subject to availability and approval by us.

• Prices are in Sri Lankan Rupees unless stated otherwise and exclude applicable taxes, duties, or freight charges.

• Payment terms will be disclosed per client/account; we reserve the right to amend payment terms at our discretion.

• We may cancel or refuse an order where incorrect pricing has been listed due to typographical error or where stock is unavailable.

5. Delivery & Logistics

• We will use commercially reasonable efforts to deliver products by the indicated date, but we do not guarantee delivery by that date.

• Risk of loss passes to you when goods are delivered to your nominated carrier or location.

• You are responsible for all import duties, taxes, and related local charges.

6. Certification & Compliance

• Products may be accompanied by Certificates of Analysis (COA), Materials Safety Data Sheet (MSDS) and Halal certification when applicable.

• It is your responsibility to ensure the material is suitable for your end-use and compliant with local regulations.

7. Intellectual Property

• All content, logos, trademarks, images and materials on the Site are our property or used under licence. You may not reproduce, modify, distribute or display such content without our written permission.

• You grant us a non-exclusive right to use any materials you submit, upload or provide in connection with your order.

8. Limitation of Liability & Disclaimer

• The Site and content are provided “as-is” and “as-available”. We make no warranties of merchantability, fitness for a particular purpose or non-infringement.

• To the maximum extent permitted by law, our liability to you for any claim arising from these Terms or your use of the Site, products or services is limited to the amount you paid us for the specific order giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Cubik Ceylon (Pvt) Ltd, its officers, directors and employees from any claim, loss, liability, damage or cost (including legal fees) arising from your use of the Site, your violation of these Terms, or your breach of any third-party rights.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka. Any disputes arising shall be submitted to the jurisdiction of the courts of Sri Lanka.

11. Changes to Terms

We may update these Terms from time to time. The updated version will be posted on the Site with a new effective date. Your continued use of the Site or placing of orders after the changes constitutes your acceptance of the updated Terms.

12. Severability

If any provision of these Terms is found invalid or unenforceable under applicable law, that provision shall be deemed removed and the remaining provisions shall remain in effect.
